PaidUp Terms of Service
Effective date: [PUBLICATION DATE — ADD AT LAUNCH]
PaidUp is a RiloByte product. RiloByte is an assumed business name of ACG Services LLC.
1. Agreement and eligibility
These Terms of Service form an agreement between you and ACG Services LLC, doing business as RiloByte (“RiloByte,” “we,” “us,” or “our”). By purchasing, activating, or using PaidUp, you agree to these Terms, the PaidUp Refund Policy, and the PaidUp Privacy Policy.
PaidUp is offered only to people in the United States who are at least 18 years old. If you do not agree to these Terms or do not meet these requirements, do not purchase, activate, or use PaidUp.
2. Product and purchase model
PaidUp is a browser-based digital software product sold as a one-time purchase. It is not a subscription. A purchase does not promise perpetual hosting, future features, major upgrades, ongoing development, or indefinite compatibility with every browser, device, operating system, or third-party service.
3. License and permitted use
Subject to payment and compliance with these Terms, ACG Services LLC, doing business as RiloByte, grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable right to use PaidUp for personal and household purposes.
A PaidUp V1 license permits up to two active browser/device installations at one time. A separate browser, browser profile, private-browsing context, or device may be treated as a separate installation. PaidUp includes controls for deactivating the current installation. If both permitted slots are occupied, the recovery feature may replace the active installation that has gone unused the longest.
4. Prohibited misuse
You may not:
- share, sell, sublicense, rent, or transfer a license except where applicable law requires otherwise;
- circumvent license verification, installation limits, access restrictions, or security controls;
- use automated requests, attacks, scraping, or other activity that disrupts PaidUp or its licensing services;
- attempt unauthorized access to systems, data, accounts, or licenses;
- use PaidUp for commercial, business, unlawful, or rights-infringing purposes; or
- reverse engineer or modify PaidUp except to the extent applicable law does not permit that restriction.
5. What PaidUp does—and does not do
PaidUp is an organizational and bill-recordkeeping tool. It lets customers enter bill information, review due dates and recurring schedules, maintain reminders, record payments completed elsewhere, and view locally generated summaries.
PaidUp does not pay bills, initiate payments, transfer, receive, hold, or safeguard money, connect to bank, card, biller, or other financial accounts, or verify that a payment occurred. PaidUp does not provide financial, banking, accounting, tax, legal, or investment advice and does not replace records or instructions from a biller, financial institution, or professional adviser.
All payment-related entries are customer-maintained records. You remain responsible for confirming amounts, due dates, payment status, and payment instructions directly with the relevant biller or financial institution.
6. Browser-local data
Customer bill information is stored locally in the browser used to access PaidUp and is not automatically synchronized between browsers or devices. Clearing browser storage, resetting or replacing a browser profile, private-browsing behavior, device failure, loss of access, or similar events may permanently remove locally stored information.
You are responsible for maintaining any separate records needed for financial, legal, tax, or personal purposes. PaidUp should not be treated as the authoritative or sole record that a bill was paid. PaidUp V1 does not provide automated backup, export, restoration, or synchronization.
7. Licensing and third-party services
PaidUp relies on Payhip for purchase fulfillment, license generation, and license verification, and on Cloudflare for hosting, security, request handling, and licensing-data storage. Availability may be affected by those providers, network conditions, browser behavior, maintenance, security events, or circumstances outside RiloByte’s reasonable control. Third-party services are governed by their own terms and privacy practices.
PaidUp normally revalidates licenses periodically. A temporary grace period may be available during certain Payhip outages, but uninterrupted access is not guaranteed.
8. License disabling and deactivation
PaidUp requires an enabled license associated with the correct product. If Payhip reports that a license has been disabled, refunded, or is otherwise invalid, PaidUp may disable its license record and revoke active licensing sessions.
Device replacement or customer-initiated deactivation revokes the licensing session for the affected installation. Disabling a license or session does not automatically remove bill information stored locally in that browser.
9. Refunds
Purchases are governed by the PaidUp Refund Policy. PaidUp is delivered immediately with a unique license key. All sales are final, subject to the exceptions in that policy and rights that cannot legally be excluded or restricted.
10. Disclaimers
PaidUp is provided on an “as available” basis, subject to warranties and rights that cannot legally be excluded. To the fullest extent permitted by applicable law, ACG Services LLC, doing business as RiloByte, disclaims implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability, and error-free operation.
PaidUp does not guarantee that reminders, calculations, recurring dates, status displays, or customer-entered records are complete or accurate. Customers must independently verify all financial obligations and payments.
11. Limitation of liability
To the fullest extent permitted by applicable law, ACG Services LLC, doing business as RiloByte, will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, opportunities, goodwill, or anticipated savings arising from PaidUp.
To the fullest extent permitted by applicable law, the aggregate liability of ACG Services LLC, doing business as RiloByte, arising from or relating to PaidUp will not exceed the amount the customer actually paid for PaidUp. These limitations do not apply where liability cannot legally be limited or excluded.
12. Informal dispute resolution and Indiana law
Before filing a legal claim, the customer and RiloByte will make a good-faith effort to resolve the dispute informally. The customer may begin by contacting acg.services.in@gmail.com with sufficient purchase information and a description of the dispute. Do not send passwords, license keys, or complete payment-card information.
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, while preserving mandatory consumer rights that cannot lawfully be waived. These Terms do not require mandatory arbitration.
13. Changes
PaidUp and these Terms may be updated from time to time. The effective date will be revised when these Terms change, and notice of material changes will be provided where required by applicable law. Changes do not limit rights that cannot legally be waived.
